Affiliate Partnership – Agreement

GeauxTo Group Affiliate Partner Agreement

This Agreement defines the rules, responsibilities, and protections of the GeauxTo Group Affiliate Partner Program.
It exists to provide clarity, fairness, and long-term stability for both parties.

This Agreement is entered into between GeauxTo Group (“Company”) and the undersigned Affiliate Partner (“Partner”).

1. Nature of the Partnership

This is a non-exclusive referral partnership
Partner is an independent contractor, not an employee, agent, or representative
Nothing in this Agreement creates an employment, partnership, or fiduciary relationship

2. Roles & Responsibilities

Partner Responsibilities

Introduce qualified businesses to GeauxTo Group

Represent the partnership honestly, ethically, and professionally

Avoid misrepresentation of services, pricing, or guarantees

GeauxTo Group Responsibilities

Client onboarding related to GeauxTo services

Strategy, fulfillment, billing, and support
Ownership and management of all GeauxTo products and services

3. Client & Relationship Ownership

Partners retain ownership of their client relationships

GeauxTo Group owns and manages only the marketing services it provides
This Agreement does not transfer client ownership or business goodwill

4. Commission Structure

Commissions are paid on eligible subscription services only

A separate Affiliate Partnership – Commission Guide defines:
- Commissionable products
- Commission amounts
- Exclusions and limitations

Key Rules

One partner per client account (no split commissions)
Commissions are paid only while accounts are:
- Active
- Paid
- In good standing

Not Commissionable

Advertising spend
Usage-based fees (calls, SMS, email)
One-time costs, add-ons, or hourly services

5. Product & Commission Changes

Products, pricing, and commissions may evolve over time

The Commission Guide may be updated as needed

Updates apply going forward only

Earned commissions on active accounts are not retroactively changed unless stated in writing

This Agreement remains valid even as offerings evolve.

6. Payments & Taxes

Commissions are paid monthly
Accounts must be paid in full
No commissions on paused, canceled, or delinquent accounts

W-9 Requirement

A valid W-9 is required before any payments are issued
Partners are responsible for all applicable taxes

7. Confidentiality

Partners agree to keep confidential any non-public information related to:

Pricing
Systems
Processes
Client data

8. Partner Value Creation & Brand Standards

Partners may enhance their offer through:

Memberships
Bundles
Education or coaching
Exclusive features or bonuses

All partner-facing offers must:

Be lawful, ethical, and professional
Align with GeauxTo Group’s brand values and reputation

GeauxTo Group reserves the right to request changes to any offer that does not align with its standards.

9. Term & Termination

Either party may terminate this Agreement at any time with written notice
Upon termination:
- No future commissions accrue
- Earned but unpaid commissions are paid per standard terms

10. Governing Law

This Agreement is governed by the laws of the State of Louisiana.
